TERMS AND CONDITIONS OF SALE

 

PRICES AND FREIGHT CHARGES  - All prices are quoted in U.S. dollars and are good for 30 days from the date of the quotation.  All freight charges (if listed) are a close estimate and may be adjusted prior to payment.  Please verify before opening letter of credit or wire transfer of funds.

 

EQUIPMENT PROTECTION INSURANCE – Due to the nature of our product, all ocean freight containers will be insured on the Riley Equipment, Inc. “all Risk-Door to Door” policy at the buyer’s expense.

 

WARRANTY – Warranty coverage for any product shipped is limited to the manufacturer’s current written warranty for the product.

 

PAYMENT TERMS -  

Option 1 - Certified check in advance for U.S. funds drawn on a U.S. Bank

 

Option 2 - Telex transfer of funds in advance.

 

Option 3 - Irrevocable Letter of Credit for U.S. funds, payable in full at the counters of the U.S. Bank upon presentation of shipping documents, and confirmed by a prime U.S. bank.

SERVICE CHARGE - In the event that other conditions of payment are granted, a service charge of 1 1/2% per month will be charged on any invoice not paid within the quoted terms of sale.

 

DELIVERY - Manufacturing lead-time listed on quotation is a close estimate, but is subject to change.  Please verify before opening L/C allowing 2 weeks for delivery to the port.  Allow 3 additional weeks validity after latest ship date for presentation of documents.  Do not specify Port of Embarkation.  L/C should allow for trans-shipment and partial shipment.  NVOCC (house) bills of lading allowed.

 

UNLOADING - A distributor (customer) representative must be present when containers are unloaded.  Damaged or missing items should be reported to Riley Equipment, Inc. within 10 days of receipt of shipment.

 

SERVICE AND INSTALLATION – Service and installation will be the responsibility of the buyer.  If an installation supervisor is needed at the installation sight, the buyer will be responsible for the costs of round-trip travel, first class lodging, and local expenses plus US$400.00 per day per supervisor.  This amount will be required before the supervisor is dispatched.  Purchaser shall indemnify and hold Riley Equipment, Inc. harmless from any and all damages, losses, lawsuits or other claims of any nature caused by or arising from 1) modification of Riley Equipment, Inc. products or equipment by purchaser, and/or 2) improper installation of Riley Equipment, Inc. products or equipment by purchaser or installation which is not in conformity with installations procedures, manuals and/or training provided by Riley Equipment, Inc.

 

OMISSIONS AND ERRORS – Riley Equipment, Inc. reserves the right to amend quotations to correct errors and omissions.
